These Ambassador Program Terms & Conditions ("Terms") govern participation in the Ambassador Program ("Program") offered by AXureous Limited Liability Co. ("AXureous," "Company," "we," "us," or "our") in connection with the TeleCommandCenter platform.

By applying to, enrolling in, or participating in the Program, you ("Ambassador," "you") agree to be bound by these Terms.

1. Independent Contractor Relationship

Ambassadors participate in the Program as independent contractors.

Nothing in these Terms creates or shall be deemed to create:

• An employment relationship
• A partnership
• A joint venture
• An agency relationship
• Any ownership, equity, or profit interest in AXureous or TeleCommandCenter

Ambassadors have no authority to bind, represent, or make commitments on behalf of AXureous or TeleCommandCenter.

2. No Authority to Make Representations

Ambassadors may not, directly or indirectly:

• Make representations, warranties, or guarantees on behalf of the Company
• Promise specific income, commissions, results, or business outcomes
• Represent commission rates, structures, or durations other than those officially published by the Company
• Modify, interpret, or supplement Company terms, pricing, or policies

All representations concerning TeleCommandCenter must originate solely from Company-published materials.

Any statements made by an Ambassador are non-binding on AXureous.

3. No Earnings or Income Guarantees

Participation in the Program does not guarantee:

• Any level of income
• Any minimum commission amount
• Continued eligibility or participation
• Any specific duration of commission payments

Earnings depend on individual effort, customer behavior, market conditions, and continued compliance with these Terms.

4. Commission Structure

Commission rates, eligibility rules, payout schedules, thresholds, and conditions are established solely by the Company and may be modified from time to time.

Commissions:

• Are earned only on valid, completed, and non-refunded transactions
• Are not considered earned until confirmed by the Company
• Are subject to verification, review, and fraud prevention processes

The Company may withhold, deny, or adjust unearned commissions resulting from violations of these Terms or applicable law.

4.1 Commission Eligibility

Commissions are earned ONLY on:

• Monthly tier/subscription costs
• Add-on bot subscriptions

Commissions are NOT earned on:

• Storage booster addons (due to infrastructure costs associated with these products)

4.2 Commission Tier Levels

Ambassador commission rates are determined by the total number of Agency Referrals (not Ambassador Referrals) and are structured as follows:

Silver Level - Under 100 Agency Referrals:

• Tier 1: 0–5 referrals → 20% commission
• Tier 2: 6–20 referrals → 25% commission
• Tier 3: 21+ referrals → 30% commission

Gold Level - Between 101-200 Agency Referrals:

• Tier 1: 0–5 referrals → 20% commission
• Tier 2: 6–20 referrals → 25% commission
• Tier 3: 21-30 referrals → 30% commission
• Tier 4: 31-40+ referrals → 35% commission

Platinum Level - 201+ Agency Referrals:

• Tier 1: 0–5 referrals → 20% commission
• Tier 2: 6–20 referrals → 25% commission
• Tier 3: 21-30 referrals → 30% commission
• Tier 4: 31-40 referrals → 35% commission
• Tier 5: 41-50+ referrals → 40% commission

Note: Commission tier levels are based on the total number of active Agency Referrals. Your tier and commission percentage may change as your referral count increases or decreases.

4.3 Ambassador Referral Commissions

In addition to direct commissions from Agency Referrals, Ambassadors earn a 10% commission on the earnings of any Ambassadors they refer to the Program. This 10% commission applies to the referred Ambassador's total commission earnings from their own Agency Referrals.

Important: For an Ambassador referral to qualify for the 10% commission, the referred Ambassador MUST sign up using your unique Ambassador Invite link. Only Ambassadors who register through your specific Ambassador referral link will be counted as your Ambassador Referrals and generate the 10% commission on their earnings.

Example: If an Ambassador you referred (who signed up using your unique Ambassador Invite link) earns $1,000 in commissions from their Agency Referrals, you would earn $100 (10%) from that referred Ambassador's earnings.

4.4 Commission Duration

The default commission term for agencies onboarded under an Ambassador is 36 months from the date of the referred agency's initial subscription. This duration may be modified at the sole discretion of the Company, and any changes will apply prospectively to new referrals only.

Previously earned commissions will not be retroactively affected by changes to commission duration policies.

4.5 Payout Schedule

Stripe Connect: We support Stripe Connect as a payout method. When Stripe Connect is set as your payout method:

• You may request a manual cash out at any time when your available balance is over $20
• You will also be automatically cashed out on a biweekly schedule—every other Friday
• Stripe Connect onboarding is automatically approved; eligible funds are sent through Stripe and are typically available in your Stripe Connect balance right away once processed
• If the payout method you have connected in Stripe supports instant payouts, you may be able to receive funds to your bank in under 10 minutes when you cash out manually (subject to Stripe and your financial institution’s rules and availability)

Commission Hold Period:

• Commissions are initially held in a pending balance for a 7-day hold period from the date payment is received
• After 7 days, commissions automatically move from pending balance to available balance
• Commissions in available balance are eligible for manual cash outs (where Stripe Connect applies) and for automatic biweekly payouts

Automatic Payout Submission (biweekly):

• On each biweekly run (every other Friday), your entire available balance is submitted for payout in line with the schedule above
• You must have a valid payout method configured (e.g. Stripe Connect completed and in good standing) to receive automatic payouts
• Where payouts are processed through Stripe Connect, settlement timing follows Stripe’s and your connected account’s terms; the Company may still review activity for compliance, fraud, or violations of these Terms

Important Notes:

• The Company reserves the right to modify payout schedules, hold periods, minimum cash-out amounts, or submission frequencies at its discretion
• Payouts are subject to verification and may be delayed or withheld if there are concerns about compliance, fraud, or violations of these Terms
• All payouts are processed in USD unless otherwise specified

5. Program Modifications & Termination

AXureous reserves the right, at its sole discretion, to:

• Modify commission percentages or structures
• Change Program rules or eligibility requirements
• Suspend or terminate the Program
• Terminate any Ambassador's participation

All changes apply prospectively only. Previously earned commissions will not be retroactively reduced.

Continued participation in the Program after any modification constitutes acceptance of the updated Terms.

6. Recruiting & Referrals

Unless explicitly authorized in writing by the Company:

• Ambassadors may not onboard, approve, manage, or supervise other ambassadors
• Ambassadors may not make promises or representations to prospective ambassadors
• All ambassador participation requires Company approval and acceptance of these Terms

Ambassadors must clearly disclose that they are independent participants and not employees or representatives of AXureous or TeleCommandCenter.

7. Prohibited Conduct

Ambassadors may not engage in conduct that includes, but is not limited to:

• False, misleading, or deceptive claims
• Earnings or income opportunity claims
• Spam, fraud, or abusive practices
• Implying guaranteed, "lifetime," or permanent commissions
• Violating applicable laws, regulations, or platform policies
• Operating or promoting the Program as a multi-level marketing (MLM) scheme unless expressly authorized

Any violation may result in immediate termination.

8. Taxes & Expenses

Ambassadors are solely responsible for:

• All taxes, filings, and reporting obligations
• Any expenses incurred in connection with Program participation

The Company does not withhold taxes and does not provide tax advice.

9. Intellectual Property

The Company grants Ambassadors a limited, revocable, non-exclusive, non-transferable license to use Company-approved marketing materials solely for participation in the Program.

This license may be revoked at any time, for any reason.

10. Indemnification

Ambassadors agree to indemnify, defend, and hold harmless AXureous, its officers, members, managers, and affiliates from any claims, damages, liabilities, or expenses arising from:

• Misrepresentations or unauthorized promises
• Violations of these Terms
• Unlawful, deceptive, or negligent conduct

11. Limitation of Liability

To the maximum extent permitted by law, AXureous shall not be liable for:

• Lost profits or income
• Indirect, incidental, or consequential damages
• Business interruption or loss of goodwill

Total liability shall not exceed the total commissions paid to the Ambassador in the three (3) months preceding the event giving rise to the claim.

12. Termination

The Company may terminate an Ambassador's participation:

• Immediately
• With or without cause
• With or without notice

Upon termination:

• Future commissions cease
• Earned but unpaid commissions may be paid at Company discretion
• All licenses granted under these Terms terminate immediately

13. Governing Law & Venue

These Terms are governed by the laws of the state of Colorado, USA, without regard to conflict-of-law principles.

Any dispute shall be brought exclusively in the courts located in Northern Colorado, unless otherwise required by law.

14. Entire Agreement

These Terms constitute the entire agreement between the parties regarding the Ambassador Program and supersede all prior discussions, communications, or representations.

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

15. Acceptance

By checking the acceptance box and participating in the Program, you acknowledge that you:

• Have read and understood these Terms
• Agree to be legally bound by them
• Understand the Program, commission structure, and participation may change or end at any time
